Terms of Service Learnze UF

Welcome to Learnze UF (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our services, including our website, software, AI-automation tools, integrations, consulting, and related offerings (collectively, the “Services”).
By using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

2. Eligibility and Use of ServicesBy using our Services, you represent and warrant that:
● You are at least 18 years old and have the authority to enter into binding contracts.● If you are using our Services on behalf of a company, you have full authority to bind that company to these Terms.● You will comply with all applicable laws and regulations.● You agree to use our Services only for lawful business purposes and not to engage in any activity that interferes with or disrupts the functionality of our systems.
3. Services ProvidedLearnze UF provides AI-driven workflow and automation solutions, including but not limited to:
● AI integrations and automation consulting.● Workflow optimization through software tools and APIs.● System development, data analysis, and digital transformation support.
The scope, pricing, and deliverables of each service will be defined in a written proposal, quotation, or service agreement between Learnze UF and the client (“Service Agreement”).
4. Account RegistrationCertain Services may require you to create an account. You agree to:
● Provide accurate and complete information during registration.● Keep your login credentials secure and confidential.● Accept responsibility for all activities under your account.● We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.
5. Payment and FeesAll prices are provided in SEK, USD, or EUR and are exclusive of VAT unless stated otherwise.Payment terms will be stated in your Service Agreement or invoice.Late payments may incur interest in accordance with the Swedish Interest Act (Räntelagen 1975:635) or applicable EU directives.Learnze UF reserves the right to suspend or terminate services for unpaid invoices.All payments must be made via approved payment methods (invoiced), such as bank transfer or credit/debit card.
6. Intellectual Property Rights
6.1 OwnershipAll intellectual property rights related to Learnze UF’s Services—including software, designs, processes, AI models, and documentation—remain the sole property of Learnze UF or its licensors. Clients receive a non-exclusive, non-transferable, revocable license to use deliverables strictly for internal business purposes, as defined in the Service Agreement.
6.2 Client DataThe client retains ownership of all data provided to Learnze UF (“Client Data”). Learnze UF may process this data only to the extent necessary to deliver the agreed Services.
7. ConfidentialityBoth parties agree to keep confidential any non-public information disclosed during the engagement.Confidential information may not be shared with third parties without written consent, except where required by law.This obligation remains in effect for three (3) years after the termination of the Service Agreement.
8. Data Protection and GDPR ComplianceLearnze UF acts as a data processor when processing Client Data on behalf of clients. Clients act as data controllers under the GDPR.
We commit to:● Process data only according to written instructions from the client.● Maintain appropriate technical and organizational security measures.● Assist clients in fulfilling data subject rights under GDPR.● Ensure that all subprocessors comply with GDPR requirements.● A separate Data Processing Agreement (DPA) will be provided upon request.
9. Service Availability and ModificationsWe strive to maintain uninterrupted service but do not guarantee continuous availability.We may update, modify, or discontinue parts of the Services at any time, with reasonable notice when possible.Learnze UF shall not be liable for any downtime, delays, or data loss resulting from maintenance, system failures, or external causes beyond our control.
10. Warranties and DisclaimersThe Services are provided “as is” and “as available.”
We do not warrant that:● The Services will be error-free, uninterrupted, or fully secure.● The results from using our AI systems will be accurate, reliable, or suitable for a specific purpose.● To the maximum extent permitted by law, all implied warranties are excluded.
11. Limitation of LiabilityTo the fullest extent permitted by law:● Learnze UF shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or data.● Learnze UF’s total liability for any claim shall not exceed the total amount paid by the client for the Services giving rise to the claim during the 12 months preceding the incident.
12. TerminationEither party may terminate the Service Agreement by providing written notice if the other party:-Breaches these Terms or the Service Agreement and fails to remedy it within 14 days.-Becomes insolvent or ceases business operations.
Upon termination:Outstanding payments remain due.Each party must return or delete confidential materials belonging to the other.
13. Non-SolicitationDuring the engagement and for 12 months after termination, the client shall not solicit or employ Learnze UF employees or contractors without prior written consent.
14. Governing Law and JurisdictionThese Terms and any disputes arising from them are governed by Swedish law, excluding its conflict of law principles.Disputes shall be settled by the District Court of Västmanland (Västmanlands tingsrätt) or another competent court in Sweden.
15. AmendmentsWe reserve the right to modify these Terms at any time. Updated versions will be posted on our website, and the effective date will be revised. Continued use of our Services constitutes acceptance of the updated Terms.
